本論文主要是闡述我國私募基金現階段的運作狀況及其合法化的研究，分別從五個部分來分析。第一部分，通過與公募基金的對比來分析私募基金的特點及運作優勢，從而顯示私募基金的重要地位；第二部分，從私募基金在我國發展歷程的角度來分析其產生的客觀背景，從而說明私募基金是市場自發創新的產物；第三部分，從我國證券市場的發展趨勢及私募基金的特點和優勢，來分析我國發展私募基金的必要性與可行性；第四部分，從私募基金的利益保障和違規操作，來分析我國私募基金需要合法化；第五部分，從金融監管的角度來分析我國私募基金要如何合法化。

Abstract:Theemergenceofprivateenlistingfundinourcountryisnotonlyinaccordancewiththemacroeconomicsbackgroundofinhabitants’increasingfortune,butalsosatisfyingthoseinhabitantswholookforthewayofreproducingtheirfortune.Thiskindoffundwithstrongmarketfeatureshasgonethroughafrom-bottom-to-topway,whichdiffersfromthepublicenlistingfund.Hence,whenwedealwithsomeso-called“privateenlistingfund”incurrentmarket,weshouldtakeanattitudeofdeferringtorealismandhistory,tonormalizethosesothattheshocktothemarketcanbereduced.
