摘要：本文首先介紹了西方管理者收購的概念、發(fā)展以及其積極作用，緊接著闡述了管理者收購在我國(guó)實(shí)施的現(xiàn)狀。隨著我國(guó)改革開放的進(jìn)一步擴(kuò)大，管理者收購也活躍了我國(guó)國(guó)有企業(yè)產(chǎn)權(quán)交易行為；作為國(guó)資重組的主要方式之一，對(duì)于我國(guó)的上市公司企業(yè)改革有著特別積極的意義；但作為一種制度的創(chuàng)新的試點(diǎn)，管理者收購在具體操作時(shí)也面臨著許多的問題，其中包括行政、定價(jià)、融資、運(yùn)作、監(jiān)管、立法、信息披露等等。筆者通過對(duì)這些問題進(jìn)行全面的分析描述，提出了解決問題的具體方案和建議并以此表明自己的觀點(diǎn)：雖然目前管理者收購在我國(guó)推行的條件不盡完善，但基于其對(duì)企業(yè)經(jīng)營(yíng)管理的積極意義，中國(guó)的上市公司實(shí)施管理者收購是完全可行的，但并不是盲目地效仿西方國(guó)家，而必須結(jié)合中國(guó)的國(guó)情，選擇適當(dāng)?shù)臅r(shí)機(jī)來進(jìn)行操作，以便理順產(chǎn)權(quán)關(guān)系、調(diào)動(dòng)管理者的積極性和創(chuàng)造意識(shí)，降低成本，提高經(jīng)營(yíng)管理效率以及優(yōu)化社會(huì)資源配置。 關(guān)鍵詞:管理者收購上市公司產(chǎn)權(quán)關(guān)系成本 Abstract:Thistextintroducedwesternconcept,developmentanditspositiveeffectsManagementBuyOutsfirst,themorrowexpatiatedtheManagementBuyOutsthepresentconditionputintheourcountryintopractice.Thewriterpassestodescribetotheseproblemsanalysisproceedingcompletely,puttingforwardproblem-solvingofconcreteprojectwithsuggestandexpressownstandpointwiththetime：AlthoughtheManagementBuyOutsnowatthetermthatourcountrypromotenotexhaustedperfect,accordingtoitstobusinessenterprisemanagementmanageofpositivemeaning,theChineselistedcompanyputsintopracticethegovernorprocuresiscompleteviable,andnotimitatethewestblindlynation,butmustjointogethertheChinesestateofthenation,choosetheappropriateopportunemomenttoproceedtheoperation,forthepurposeofreasonfollowproducepowerrelation,transferthegovernor''''spositivewithcreateconsciousness,lowertheagencycost,increasemanagementefficiencyandexcellentturnthesocialresourceinstalls.
